Terms of Service

1. Acceptance of terms

These Terms of Service (the “Terms”) govern your access to and use of Untoil (the “Service”), operated by Onsight LLC, a California limited liability company (“Onsight,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to misuse the Service. Without limitation, you may not:

• Violate any applicable law or regulation, or infringe the rights of others.
• Access, tamper with, or use non-public areas of the Service or our systems without authorization.
• Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures.
• Upload or transmit malware, or interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited communications or to harass, abuse, or harm others.

4. User content and ownership

You retain ownership of the content you submit, post, or store through the Service (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process your User Content solely as necessary to operate, provide, and improve the Service. You are responsible for your User Content and represent that you have the necessary rights to submit it.

5. Intellectual property

The Service, including its software, design, text, graphics, and logos, is owned by Onsight LLC or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6. Third-party services

The Service may integrate with or contain links to third-party websites, products, or services that we do not control. We are not responsible for the content, policies, or practices of any third-party services, and your use of them is at your own risk and subject to their terms.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Onsight LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months preceding the claim or one hundred U.S. dollars (USD $100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Onsight LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by updating the “Last updated” date above or by providing notice through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in California for the resolution of any disputes arising out of or relating to these Terms or the Service.
